2025 AGM

Annual General Meeting – 7 November 2025

 

A final letter has gone out to members. This includes pre-registration information for the online meeting and an RSVP form to return. If you have not received the final letter, please reach out to admin@summerfruitnz.co.nz. More information on how the meeting will proceed on the day including a guide to using the Vevox voting app will be provided upon registration.

Please note:  All AGM registrations (including online) will close at 1pm on Wednesday 5 November 2025 to allow sufficient time for effective administration of the AGM.

 

Unable to attend the AGM?

Should you be unable to attend the meeting, a proxy form will be linked in the AGM letter.

Please ensure that all proxies are received by Summerfruit NZ no later than 1pm on Wednesday 5 November 2025.

 

Agenda and resolutions

Nominations for the Board of Directors have closed see update below regarding board members.  Resolutions were called for and have now been finalised, no resolutions were received from members.

Business:

  1. To receive and consider the minutes of the previous AGM, 1 Nov 2024.
  2. To receive and consider the Summerfruit NZ Inc. Annual Accounts (31 May 2025).
  3. To approve the appointment of an auditor for Summerfruit NZ Inc (2025-26).
  4. To set the commodity levy rate for the 2025-26 year.
  5. To set a biosecurity levy rate for the 2025-26 year.
  6. To authorise the Board to adopt a director remuneration structure based on an independent review.
  7. To receive and consider changes to the Summerfruit NZ Inc. constitution.

Please note: The Summerfruit NZ Inc. Constitution clauses 7.4 and 7.9 indicate that new or amended resolutions cannot be proposed on the day of the AGM, unless the amendments are purely technical or non-material.  

Nominations for the Board of Directors

No further nominations were received therefore Trudi Webb has been re-elected unopposed. 
 

Voting entitlement process

To be eligible to vote at the AGM, Producer Members were requested to declare their planted hectares. All declarations have been processed and a certificate indicating the number of votes the member has, has been emailed to each Producer Member earlier this month. If you have not received your confirmation certificate, please contact the Summerfruit NZ team at admin@summerfruitnz.co.nz.
